1. Acceptance of Terms
By accessing our website, scheduling a consultation, or entering into a service agreement, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, please discontinue use of our services.
2. Services
Lakshay Labs provides web, mobile, cloud, and DevOps services. Each engagement is governed by a separate Statement of Work or Master Services Agreement that details scope, deliverables, responsibilities, timelines, and pricing. In case of conflict, the signed agreement supersedes these general terms.
3. Client Responsibilities
- Provide timely access to required information, tools, and stakeholders.
- Review deliverables promptly and offer consolidated feedback.
- Ensure all supplied materials respect third-party intellectual property rights.
- Settle invoices within the agreed payment window.
4. Intellectual Property
Unless otherwise agreed, the client receives ownership of final deliverables upon full payment. Lakshay Labs retains ownership of pre-existing frameworks, utilities, and know-how incorporated in the solution, granting the client a perpetual, non-exclusive license to use them as part of the deliverable.
5. Confidentiality
Both parties agree to safeguard confidential information shared during the engagement, using it solely for the purpose of performing the contracted services. Confidential obligations survive project completion unless otherwise stated in the governing agreement.
6. Payment Terms
Fees are outlined in project agreements. Invoices are due within 15 days unless another schedule is stated. Late payments may incur interest or suspension of services. Taxes, duties, or bank charges are the client's responsibility unless mandated otherwise.
7. Warranty & Disclaimer
We warrant that services will be performed with reasonable skill and care. Deliverables are provided “as is” with no implied warranties beyond those explicitly agreed. We are not liable for indirect, incidental, or consequential damages arising from the use of deliverables.
8. Limitation of Liability
Lakshay Labs' total liability, whether in contract, tort, or otherwise, is limited to the fees paid for the specific project giving rise to the claim. Nothing in these terms limits liability for fraud or wilful misconduct.
9. Termination
Either party may terminate an engagement for material breach if the breach is not cured within 15 days of notice. Upon termination, the client is responsible for payments due for work completed up to the termination date.
10. Governing Law
These terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiations, and if necessary, arbitration or courts located in India.
11. Updates to Terms
We may modify these Terms & Conditions periodically. Updates will be posted on this page with a revised effective date. Continued use of our services after updates constitutes acceptance of the revised terms.
